Can UK retail investors invest in startups?
Some UK platforms serve retail investors, but high-risk rules, appropriateness checks, and restrictions apply.
Some UK retail investors can access startup and crowdfunding investments through authorized firms. Access is not automatic. Firms may classify investors, present risk warnings, apply cooling-off steps, assess appropriateness, and restrict promotions.
Check:
- authorization and regulated activity;
- investor classification;
- risk warning and appropriateness process;
- security and nominee structure;
- fees and reporting;
- transfer restrictions;
- whether compensation protection applies to the specific situation.
The FCA treats crowdfunding and many startup investments as high risk. Be prepared for loss and long periods without liquidity. Do not infer safety from a familiar design or low minimum.
Rules and firm processes change. Recheck the FCA register, current guidance, and platform terms before acting.
How to use this guide
Treat the route, provider, and specific offering as three separate decisions. A provider can be operational while unavailable in your country. You can be eligible for an account while ineligible for a particular offering. An offering can be visible while closed to new investment. Check each layer at the time you act.
Before committing money, record:
- The amount you can afford to lose completely.
- The legal entity and instrument you would own.
- The fees, carry, and administrative costs.
- The transfer restrictions and realistic holding period.
- The evidence you used, including its date.
- The conditions that would make you decline.
